Board of Directors

Todd BirdwellRandal D. Boyd is the Chairman, CEO, majority shareholder and founded Radio Systems Corporation in January 1991. Prior to starting RSC, Mr. Boyd founded Saco, Inc., a farm supply distribution company, in 1983, and was its President until 1999, when he sold it to Saco’s management team. Prior to founding Saco, Mr. Boyd held several positions at Fi-Shock, Inc., a manufacturer of electric fencing equipment, including Director of International Sales and Vice President of Sales. He is currently on the Board of Directors of EDP BioTech, a bio-science company doing cancer and DNA research and of Clayton Bank Corp. He is also on the Board of several non-profit organizations including Walker Academy, The East Tennessee Historical Society, and Tribe One, a out reach ministry for disadvantaged youth. Mr. Boyd received a degree from The University of Tennessee in Industrial Management in 1979 and a Masters in Liberal Studies from Oklahoma University in 1988. He has one wife, two sons, a dog, two cats, and a parrot.


Todd BirdwellTodd G. Birdwell has served as a director of the Company since January 1994.He has served on the Audit and Finance Committee of the Board of Directors since July 1994. Mr. Birdwell currently is a Senior Vice President and Partner of Investment and Retirement Services Group. From June 1998 to December 2003 he served as Vice President and Financial Consultant with Hilliard Lyons. From July 1992 to June 1998 he was an investment broker with Morgan Keegan. Prior to such time, Mr.Birdwell served as Vice President of Corporate Banking with First Tennessee Bank.


Tom BoydTom Boyd has served as a Director of the Company since its organization in 1991 and has served as a member of the Compensation Committee of the Company’s Board of Directors since December 1994. He served as Secretary of the Company from March 1991 through December 1994 and as Treasurer of the Company from March 1991 through April 1995. Mr. Boyd founded Fi-Shock in June 1968 and has served as its Chief Executive Officer since its organization. In 1990, Mr. Boyd also founded I-Shop, Inc., a CD-Rom publishing company specializing in product informational CD-Roms and has served as its President since its organization. Mr. Boyd is currently President and CEO of EDP BioTech Corporation. Mr. Boyd is the father of Randal D. Boyd, the founder, Chairman of the Board of Directors and President of the Company.


E. Douglas Grindstaff Senior has been a Director of the Company since April 1996. Mr. Grindstaff served as a marketing consultant to the Company from August 1995 until April 1996. Mr. Grindstaff served as President of the Canadian operation of Procter & Gamble Inc. From March 1987 to September 1991 and as President of the Procter & Gamble Cellulose Company from September 1991 to June 1992. From June 1992 until October 1994, Mr. Grindstaff served as President and Chief Executive Officer of Genesco, Inc., a major shoe manufacturer. Since September 1995, Mr. Grindstaff has served as Chairman of the Board, Chief Executive Officer and President of EcoSmart Technologies, Inc., a pesticide company. He also currently serves as Chairman of the Board of MedImages, Inc., medical services company. As a director and President of Hartland, Co., a general contraction firm and as a director of Laurel Spring Water Co., a bottler of water products. Mr. Grindstaff currently serves as Board Chairman of Commercialand Inc of Knoxville, Scott Services of Birmingham, Composite Utility Products of Toronto, and Cascades of San Juan, LLC of McAllen, TX, and serves on the Board of Sierra Mountain Mineral Inc of Vancouver.


Tom BoydDonald F. Johnstone has been a Director of the Company since January 1995. He served as President and Chief Executive Office of Philips Consumer Electronics from June 1983 until March 1994. Prior to his position at Philips Consumer Electronics, Mr. Johnstone served as General Manager of the Television and Microwave Divisions of General Electric Company.


Tom BoydRichard B. Ray has been a Director of the Company since December 1994. He has served on the Audit and Finance Committee of the Company’s Board of Directors since July 1995. Since October 1995, Mr. Ray has been the Co-Chairman of the Board and Chief Financial Officer for 21st Mortgage Corporation, a company he co-founded. From 1982 through 1994, he was a director, Executive Vice President and Chief Financial Officer of Clayton Homes, Inc., the nation’s largest vertically integrated manufactured home company. From 1992 to 2001, Mr. Ray was a director of BankFirst, a community bank headquartered in Knoxville, Tennessee, which was acquired by Branch Banking and Trust Company in 2001. From September 1994 through September 1995, he was a director of Palm Harbor Homes, Inc., a manufactured homes manufacturer and, from 1991 to 1999, he was a director and member of the Executive Committee for the Knox Housing Partnership, a not-for profit developer of low income housing in Knox County, Tennessee. From September 1997 to June 2003, Mr. Ray was a trustee for the ‘N Tandem Real Estate Investment Trust, a publicly traded real estate investment trust which owned 36 manufactured home communities across the United States until it was acquired.


Tom BoydMichael Mars has served as a Director of the Company since 2005. He is presently a free agent. While researching business development opportunities in renewable energy, he is advising other firms in food and media technology. In the not for profit sector, he serves on the board of the Bhutan Foundation, work closely with World Wildlife Fund U.S. on Himalayan and marine conservation issues, and with Trout Unlimited on western water issues. November 2004 – October 2005 Mr. Mars was President of Mars Health and Nutrition N.A., a start up division with the objective to diversify the snack portfolio of Mars, Incorporated and create new business models for the company. Responsible for the development of the strategy, division organization and re-sourcing, the successful launch of the COCOAVIA brand, and the development of two new brands targeted for launch in 2007. In addition, he served on the Technology Committee for the Board of Mars, Incorporated and the Mars Nutrition Research Council. November 2002- October 2004 Mr. Mars was Vice President and General Manager for the U.S. Sugar, Mint and Gum portfolio of Masterfoods USA, a $500 million business. Responsible for sales, marketing, and product development. October 1999- October 2002 Mr. Mars was General Manager for Mars, Incorporated for Peninsula South East Asia. Grew the business from $ 30 million to $ 100 million, primarily behind a well-executed strategy to convert new customers from home prepared feeding to more convenient, better nutrition shelf stable pet foods. 1991 – 1999 Mr. Mars graduated with a B.A in History and Science from Duke University in 1991, he joined M&M/Mars to establish the Environmental Affairs group. His experience from then until 1997 included managing logistics and distribution for the US, shift manager for M&Ms production, and strategic planning for European Snack food. In 1997 he commenced an assignment to locate, build, and start operations of a pet food production facility in Thailand. In 1998 he became General Manager of the Thailand business for Mars, Incorporated.


Tom BoydM. Hadley (“Hadley”) Mullin, She has been a Director of the Company since July 2006. Ms. Mullin is currently Principal of TSG and is responsible for originating new investment opportunities, diligencing new business opportunities, structuring transactions, and working with portfolio companies. Prior to joining TSG, Hadley was with Bain & Company where she worked in a variety of practice areas, including consumer products, retail, and healthcare. Her experience includes business unit strategy, sales and marketing optimization, and new product development. Hadley also worked in Bain’s private equity practice, where she conducted strategic and operational due diligence for private equity clients. Hadley received a BA, with top honors, in Government from Dartmouth College and an MBA from the Stanford University Graduate School of Business, where she was an Arjay Miller Scholar.
